These Terms of Service ("Terms") are between you and Xander Gouws and Omar Hayat, an unincorporated partnership doing business as WrapUp.dev ("WrapUp.dev", "we", "us", "our").
By accessing or using WrapUp.dev, you agree to these Terms.
1. Eligibility and accounts
You must be at least 13 years old and legally capable of entering a binding agreement.
You agree to:
- Provide accurate account information.
- Keep your account and connected sign-in method secure.
- Promptly update your information when it changes.
- Accept responsibility for activity under your account.
2. Service
WrapUp.dev provides a paid personalized developer newsletter and related account features (including profile/preferences and billing management).
We may update, improve, or discontinue features from time to time.
3. Authentication
For MVP, sign-in is provided through GitHub OAuth. You are responsible for maintaining access to your GitHub account and complying with GitHub terms.
4. Paid subscriptions and billing
- Paid plans renew automatically unless canceled.
- Prices, billing interval, and plan terms are presented at checkout.
- By subscribing, you authorize recurring charges until cancellation takes effect.
- Payments are processed by third-party providers (including Polar and its payment processor partners). We do not store full payment card numbers.
- You are responsible for applicable taxes unless stated otherwise.
- We may change prices in the future; any change will apply prospectively to a future billing cycle after notice where required by law.
5. Cancellation, unsubscribe, and refunds
You may manage cancellation/unsubscribe using the options shown in your account or newsletter emails.
Current MVP unsubscribe paths:
- Unsubscribe from emails and payments now: future newsletter sends stop promptly and auto-renew is disabled.
- Unsubscribe from payments only: auto-renew is disabled and newsletter delivery may continue through the current paid period.
Unless required by law:
- Charges already paid are non-refundable.
- We are not required to provide prorated refunds for partial billing periods.
We may provide a courtesy full or partial refund in individual cases, but doing so once does not create an ongoing obligation.
6. Electronic communications
You agree to receive electronic communications from us related to your account, subscription, billing, and operation of the Service.
Newsletter and optional marketing emails include unsubscribe methods as required by law. Service and transactional messages may still be sent while your account remains active.
7. Acceptable use
You may not:
- Violate any applicable law or regulation.
- Attempt unauthorized access to accounts, systems, or data.
- Interfere with security, integrity, or availability of the Service.
- Reverse engineer, probe, or abuse the Service beyond intended use.
- Use bots, scraping, or automated methods in ways that overload, harm, or disrupt the Service.
- Misrepresent identity or affiliation, or engage in fraud/abuse.
8. Intellectual property and license
WrapUp.dev, including original software, design, text, and branding, is owned by us or our licensors and protected by applicable intellectual property laws.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for your personal or internal business use.
Third-party content (including linked articles and excerpts) remains the property of its respective owners.
9. Feedback
If you send us ideas, suggestions, or feedback, you grant us a worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use that feedback without restriction or compensation to you.
10. Third-party services and content
The Service depends on third-party providers (for example GitHub and Polar). Those providers are governed by their own terms and policies, and we are not responsible for third-party services.
The Service may include links to or summaries/excerpts of third-party content. We do not control and do not guarantee third-party content.
11. Suspension and termination
We may suspend or terminate access (or specific features) if:
- You violate these Terms.
- Your use creates security, legal, or operational risk.
- We are required to do so by law.
You may stop using the Service at any time. Termination does not affect rights or obligations that accrued before termination.
12. Disclaimer
To the maximum extent permitted by law, the service is provided "as is" and "as available," without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill.
Our aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of:
- The amount you paid us in the 12 months before the event giving rise to the claim, or
- USD $100.
14. Indemnity
You agree to defend, indemnify, and hold harmless WrapUp.dev and its operators from claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of your misuse of the Service, violation of these Terms, or violation of law.
15. Governing law and venue
These Terms are governed by the laws of Ontario, Canada, excluding conflict-of-laws rules.
You and WrapUp.dev agree that courts located in Ontario, Canada have exclusive jurisdiction over disputes arising out of or relating to these Terms or the Service, unless applicable law requires otherwise.
16. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms and revise the last updated date. Continued use of the Service after updated Terms become effective means you accept the updated Terms.
17. General terms
- Entire agreement: These Terms and any policies referenced in them are the entire agreement between you and us regarding the Service.
- Severability: If any provision is held unenforceable, the remaining provisions remain in effect.
- No waiver: Failure to enforce any provision is not a waiver of our right to do so later.
- Assignment: You may not assign these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, reorganization, or asset sale.
- Force majeure: We are not liable for delay or failure caused by events beyond our reasonable control.
- Survival: Sections that by their nature should survive termination (including ownership, disclaimers, limitation of liability, indemnity, governing law, and general terms) survive termination.
